Legal terms governing the use of MMG Infotech software products and services for government and enterprise clients.

SECTION 01
Acceptance of Terms

By accessing, installing, or using any software product or service provided by MMG Infotech Pvt Ltd ("MMG", "Company", "we", "us"), you ("Client", "User") agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a government department or organization, you represent that you have the authority to bind such entity.

These terms apply to all MMG products including but not limited to: DRISHTI Police Command Suite, MMG CyberShield, Digital Malkhana, MMG VPN, MMG VPS, NMB-Niwas, MMG AI School, RetinAI, and MMGPlus.

Important: Continued use of our software constitutes acceptance of these terms and any future amendments. We will notify clients of material changes at least 30 days in advance.
SECTION 02
Services Description

MMG Infotech provides enterprise-grade software solutions specifically designed for government agencies, law enforcement departments, and regulated enterprises across India. Our services include:

  • On-premise software deployment and configuration
  • Custom development and integration with existing government systems
  • Training programs for officers and administrative staff (Hindi + English)
  • 24x7 technical support and maintenance
  • Quarterly software updates with security patches
  • Hardware-locked licensing and activation management

All software is delivered as compiled binaries deployed on the client's own infrastructure. MMG does not host client data on any third-party cloud or external server.

SECTION 03
User Obligations

Clients and authorized users agree to the following obligations:

  • Use the software only for its intended lawful purpose within the licensed scope
  • Not attempt to reverse engineer, decompile, disassemble, or extract source code from any MMG software
  • Not share, sublicense, transfer, or distribute the software to unauthorized third parties
  • Maintain the confidentiality of all login credentials and access keys
  • Not attempt unauthorized access to any system, module, or data beyond assigned permissions
  • Report any security vulnerabilities or suspected breaches to MMG immediately
  • Ensure all users complete the mandatory training program before system access
Violation: Breach of these obligations may result in immediate license suspension, termination of services, and legal action as applicable under Indian law.
SECTION 04
Intellectual Property

All intellectual property rights in MMG software products, including but not limited to source code, algorithms, UI/UX designs, documentation, database schemas, and architecture, remain the exclusive property of MMG Infotech Pvt Ltd.

  • Clients receive a non-exclusive, non-transferable license to use the compiled binary software
  • Source code is never shared, transferred, or made available to clients under any circumstances
  • All customizations developed by MMG for a specific client remain MMG's intellectual property
  • The MMG brand name, logos, and product names (DRISHTI, PRAGYA, NIVARAN, etc.) are trademarks of MMG Infotech
Copyright Notice: All MMG software is protected under the Indian Copyright Act, 1957 and the Information Technology Act, 2000. Unauthorized reproduction or distribution is a punishable offence.
SECTION 05
Confidentiality

MMG Infotech maintains the highest standards of confidentiality for all client data and operations:

  • All client data is processed and stored exclusively on the client's own on-premise servers
  • MMG employees and contractors sign strict Non-Disclosure Agreements (NDAs)
  • No client data is ever transmitted to MMG servers, third-party services, or external analytics platforms
  • Remote support sessions are conducted only with explicit client permission and are fully logged
  • All deployment and maintenance activities are documented in audit trails

This confidentiality obligation survives the termination of the service agreement and remains in effect indefinitely for sensitive government data.

SECTION 06
Payment Terms

Payment terms are governed by the specific contract or purchase order executed between MMG and the client:

  • Government procurement is facilitated through the GeM (Government e-Marketplace) portal — Seller ID: 0NXB210003298462
  • All prices are quoted in Indian Rupees (INR) and are subject to applicable GST (18%)
  • Licensing models include per-station monthly, per-station yearly, and enterprise-wide options
  • Payment is due within the timeline specified in the contract or GeM order
  • Late payments may attract interest as per applicable government procurement rules
GST Details: GSTIN: 09AAOCM3659A1ZB | All invoices include proper GST breakup and are compliant with GST e-invoicing requirements.
SECTION 07
Warranty & Support

MMG Infotech provides comprehensive warranty and support for all deployed products:

  • 24x7 Technical Support — Dedicated support via phone, WhatsApp, and remote access
  • Quarterly Updates — Feature enhancements, security patches, and compliance updates delivered every quarter
  • Bug Fixes — Critical bugs addressed within 24 hours; non-critical within 7 working days
  • On-Site Support — Available for critical issues requiring physical presence
  • Training — Initial deployment training included; refresher training available on request

The software is provided "as is" for the licensed purpose. MMG warrants that the software will perform substantially in accordance with the documentation provided. This warranty does not cover issues arising from unauthorized modifications, misuse, or third-party interference.

SECTION 08
Limitation of Liability

To the maximum extent permitted by applicable law:

  • MMG's total liability shall not exceed the amount paid by the client for the specific product/service in the 12 months preceding the claim
  • MMG shall not be liable for any indirect, incidental, consequential, special, or punitive damages
  • MMG is not liable for data loss resulting from client-side hardware failures, natural disasters, or unauthorized access by the client's personnel
  • Force majeure events (including but not limited to natural disasters, government actions, pandemics, and cyber warfare) shall relieve MMG of liability during the affected period

Nothing in these terms limits liability for fraud, gross negligence, or any liability that cannot be excluded under applicable Indian law.

SECTION 09
Data Protection

MMG Infotech is fully committed to data protection and privacy compliance:

  • DPDPA 2023 Compliance — All products are designed and audited for full compliance with the Digital Personal Data Protection Act, 2023
  • AES-256 Encryption — All sensitive data is encrypted at rest and in transit using military-grade AES-256 encryption
  • Role-Based Access Control — Granular RBAC ensures users can only access data relevant to their role and jurisdiction
  • Audit Logging — Every action is logged with timestamps, user identity, IP address, and action details
  • Data Localization — 100% on-premise deployment ensures all data remains within India and within the client's physical control
  • CERT-In Compliance — Incident reporting procedures aligned with CERT-In directives

SECTION 10
Termination

Either party may terminate the service agreement under the following conditions:

  • Expiry of the contract period without renewal
  • Material breach of these terms by either party, with 30 days written notice to cure
  • Mutual written agreement between both parties
  • Non-payment for a period exceeding 90 days from the due date

Upon termination:

  • MMG will provide a complete export of all client data in standard formats (CSV, SQL dump) within 30 days
  • All client data on MMG's maintenance/support systems will be permanently deleted within 60 days
  • Software licenses will be deactivated and the compiled binaries must be uninstalled from all client systems
  • Confidentiality obligations continue to apply indefinitely after termination
SECTION 11
Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of India, including but not limited to:

  • The Indian Contract Act, 1872
  • The Information Technology Act, 2000 and its amendments
  • The Digital Personal Data Protection Act (DPDPA), 2023
  • The Indian Copyright Act, 1957
Jurisdiction: Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in Ghaziabad, Uttar Pradesh, India. The parties agree to attempt amicable resolution through mediation before pursuing litigation.
